Business Debt Restructuring in Virginia
7 Provisions That Decide Bargaining Strength (2026)
One Richmond registration rule plus six federal doctrines decide what a Virginia restructuring can achieve, from the stay to the tax code to the lien record.
The only attorney-founded business debt settlement firm in our rankings. Litigation-backed negotiation, over $100 million in settled business debt, and a 90%+ success rate.
The funder across the table registered with the Commonwealth before offering the advance, or it did not, and that fact reprices every concession the owner will request.
A Virginia company carries six federal doctrines and one Richmond rule into negotiation, and counsel applies each to the specific agreement before the owner signs anything new. Duration, forum, taxation, discharge, lien survival, record clearing and registration order settle the outcome.
Provider Registration in Virginia
The inspected text of the Virginia registration statute requires every sales based financing provider and broker to register with the Commission on or before November 1, 2022, to disclose fraud judgments and orders against the provider and its control persons, to pay $1,000 at registration and $500 each September 15, with a missed annual payment ending the registration by operation of law.
Registration does not excuse foreign entities from Title 13.1 authority. Often we see files where nobody checked the registry.
A missing registration does not cancel the debt. Registration records are extremely dull reading, which is why a collector hopes the owner skips them.
Most providers who skip registration know what they avoided, and they prefer silence from the owner.
The registry gives the owner questions the funder must answer, a different asset from a defense and nearly as useful.
The Automatic Stay and Collection Pauses
The federal court account of Chapter 11 reorganization describes the mechanism. A filed petition buys time that no private negotiation creates. Reorganization runs through a court supervised process with a stay that follows filing, subject to exceptions. A separate subchapter addresses small business cases.
The stay, if we are being precise, pauses collection rather than erasing obligation.
The company files the petition. The court opens the case. Creditors receive notice of the stay.
A filing by the company leaves suits against guarantors in place unless the court extends protection. Steps the owner takes, or does not take, in the seventy two hours after filing decide whether the breathing spell holds.
Whether a judge in the Fourth Circuit extends relief on these facts is a question for counsel before the owner relies on it. The calendar after filing fills faster than owners expect.
What the Contract Is, Regardless of Its Title
Substance controls. The 2020 Second Department analysis of MCA substance in LG Funding, LLC v. United Senior Properties of Olathe, LLC, measures an MCA by substance rather than label, weighing reconciliation, finite term and bankruptcy recourse, and treats each clause as the start of the inquiry rather than its end.
A reconciliation clause nobody honored is paper. The payment history is the contract.
The label on the first page settles nothing about how a judge will read the last.
The debits arrived on schedule every day. The obligation behind them remained disputed.
New York authority does not bind a Virginia court. Counsel tests whether Richmond judges apply the same factors before the owner quotes them. Review and copy the agreement and the payment ledger before asserting characterization.
Canceled Debt and Tax Liability
A discount computed without the tax code misstates its own price. The Internal Revenue Service discussion of canceled debt asks whether the forgiven amount counts as income, with bankruptcy and insolvency exclusions carrying requirements of their own.
Take a hypothetical $60,000 balance settled for $35,000. The $25,000 difference can arrive as taxable income, and a company level resolution can leave a personal residue that proves extremely expensive to ignore.
Interest accrues on an unpaid balance the way rust claims a tool left in rain.
Entity classification alters the result, and the outcome turns on classification, timing and related facts counsel confirms. Settlement has its own peculiar math. Counsel models the tax result before the owner celebrates the discount. The math rarely flatters the settlement.
Liens That Survive a Business Sale
A sale transfers the equipment, and the lien stays where it was. The inspected New York text of the lien survival rule continues the interest despite disposition unless the secured party authorized a transfer free of it, and attaches it to identifiable proceeds.
The owner provides the sale agreement to counsel. Counsel reads the security clause. The buyer receives a letter describing the lien.
And what the buyer discounts for a clouded title decides whether the sale solved anything. Counsel confirms the Virginia enactment before the owner warrants clear title. That decides more than the price.
Clearing the Filing After Payoff
The balance reads zero while the record disagrees until cleared. The inspected New York text of the termination procedure requires the secured party to act within twenty days after signed debtor demand when specified conditions are met.
Payoff alone changes nothing on the record. Exceptions exist in the text, though the file in front of counsel is a poor place to find one. Which exception a court would apply here is a question worth preserving rather than answering.
Simply put the demand in writing to ensure the clock starts. Keep a copy with the payoff letter.
Arbitration Clauses and the Forum
In 2019, before the current state financing statutes, forum clauses drew little attention. The federal text of the arbitration provision enforces covered written agreements subject to defenses available against any contract.
Formation, scope, delegation and the waiver question all require review before the owner treats the forum as the merits. A forum clause does not establish that the underlying advance was lawful, and anything the owner signs now becomes evidence used against the company later.
The call comes after the freeze. I have stopped being surprised by the timing.
Resist the urge to treat the forum fight as a preview of the merits. Counsel reads the agreement and traces the filings before answering.
Delancey Street offers a free confidential initial review for business debt distress, and the Delancey Street description of its debt relief work presents a settlement company rather than a law firm, so legal questions travel to independent counsel. Collectors solicit direct contact in order to shape the record before counsel appears. Counsel ensures the agreement, the filing record and the tax posture of the guarantor are reviewed and analyzed, with no statement reaching the collector without counsel present, even casually.
Paper signed in haste governs for years.

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.
Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.
Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.
Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
