The security agreement the owner signed for the truck secures the next three loans, whether the owner understood that sentence or not.

A Wisconsin business restructures under a dragnet decision from its own federal bankruptcy court, a tax classification that names the state outright, and five federal doctrines that follow the debt across state lines. Counsel reads the actual paper before advising what is secured and what is mere assertion. Language, class, marriage, discharge, taxation, collection limits and forum decide the outcome.

The Dragnet Clause in the First Paragraph

The Wisconsin federal decision enforcing a dragnet clause concerned a credit union claim for $3,159 in credit card debt secured, through all obligations language in the first line of an earlier agreement, by the family car with its $3,483.70 loan balance, with card regulations securing balances above a $1,000 floor with all collateral held for other loans.

The court enforced the clause. The card debt rode on the car lien into the Chapter 13 plan.

Wisconsin law, as traced through John Miller Supply, 55 Wis. 2d 385, and Kazmierczak, 24 F.3d 1020, sustains future advance clauses by statute. The quoted text of Wis. Stat. Ann. section 409.204(3) permits future advances under a security agreement. Enforcement then turns on the language used and, where courts impose it, on class and relation sufficient to infer consent.

Both debts there were consumer debts of the same class, and unrelated debts swept into old collateral invite the inquiry that defeated the creditor in John Miller Supply. A funder that stapled every later advance to the first lien did so in order to avoid filing twice, and counsel asks whether each advance belongs to the course of financing the parties contemplated, though the answer varies more than funders admit.

The owner signed the clause. The clause meant what it said, which is the peculiar danger of standard forms.

The Wisconsin Household and Community Property

There is a particular quiet in the conference room when the spouse learns the guarantee reaches the house.

A signature on a personal guarantee creates liability on the contract in every state. The federal publication on community property names Wisconsin among the states where income from most separate property is treated as community income, a tax rule that leaves the creditor question unanswered.

Which accounts answer is state property law, management and control, and the title on each instrument. Counsel traces each account before advising that anything is clear of the guarantee. Whether the household can restructure around the guarantee without refinancing the home is a question for a second meeting, not the first.

Compromise of SBA Debt After Liquidation

Deficiency survives the auction. The Small Business Administration explanation of compromise permits resolution of a deficiency after collateral liquidation where the obligor cannot pay in full, and requires a written offer with financial statements from each obligor seeking relief. The loan center guidance distinguishes the 7(a), Express and 504 workflows, so the program and the servicing stage must be identified before anything is promised.

Charge off precedes Treasury collection. It forgives nothing.

COVID era EIDLs cannot be forgiven through this channel, and counsel confirms that boundary before building a plan around it. Counsel gathers the statements, reconciles the balances, and presents a position the servicing center can approve without creativity, and the file must ensure inability is documented rather than described. What the obligor discloses, or withholds, in the financial statement decides the answer before the question is asked.

The Stay That Preserves the Business

No private negotiation creates the time a filed petition buys. The federal court account of Chapter 11 reorganization describes a court supervised process with a stay that follows filing, subject to exceptions.

A filing by the company leaves suits against guarantors in place unless the court extends protection. Small business provisions exist under a separate subchapter, and counsel confirms current thresholds before asserting eligibility. Often we see the stay described as forgiveness. It is a pause with a docket number. That misunderstanding is common. Counsel corrects it in the first meeting.

Taxation of Forgiven Balances

Forgiveness has a price, and the revenue authority sets it. The Internal Revenue Service discussion of canceled debt treats forgiven amounts as income unless an exclusion applies, and the bankruptcy and insolvency exclusions carry requirements of their own that reward early and extremely thorough documentation.

Take a hypothetical equipment balance compromised from $80,000 to $50,000. The $30,000 difference can arrive as taxable income, and an entity level settlement can leave the owner personal tax consequences that prove extremely expensive to overlook.

Counsel prices the tax before praising the discount. The file, like the business, does better when both ledgers are kept.

What Collection Law Withholds From the Funder

Consumer collection statutes stop at the shop door. The federal consumer bureau explanation of collection limits describes protections for specified consumer debt collection, a category that excludes business obligations.

The exclusion authorizes no fraud and no threats. Other law governs conduct, and counsel identifies and assesses the actor and the behavior rather than assuming an open field, though the field narrows once counsel names the actor.

Collectors contact guarantors at home in order to make the debt feel personal. It is personal. The statute does not convert it.

Forum Clauses and the First Conversation

On a February morning, with snow narrowing the street outside, the forum question looks larger than the debt itself. The federal text of the arbitration provision enforces covered written agreements subject to defenses available against any contract.

Formation, scope, delegation and the waiver question all require review. Resist the urge to litigate the forum as though it were the merits.

Delancey Street offers a free confidential initial review for business debt distress, and the Delancey Street description of its debt relief work presents a settlement company rather than a law firm, so legal questions travel to independent counsel under a separate engagement. The objective is to ensure the security agreements and the entire guarantee position are reviewed and analyzed, with no statement reaching the collector without counsel present, even casually.

Simply bring the whole file to the first meeting. The paper tells most of the story.

Frequently Asked Questions

Business debt settlement involves negotiating with commercial creditors to accept a reduced lump-sum payment. A professional firm works with your MCA funders, equipment lenders, and vendors to settle debts for 40-60% less than owed. The process typically takes 3-18 months with attorney-led firms.

Businesses typically resolve debt for 30-60 cents on the dollar. After fees (15-25%), net savings range from 20-40%. Attorney-led firms achieve higher reductions due to litigation leverage.

Settlement can temporarily impact credit, but most businesses pursuing settlement are already behind on payments. The goal is eliminating unserviceable debt so you can rebuild from a clean baseline. Most scores recover within 12-24 months.

Attorney-led firms like Delancey Street settle in 3-9 months. General firms take 24-48 months. MCA settlements move faster because funders prefer quick recovery over protracted litigation.
